Terms of Service

The terms that apply when you use the Mishora CRM website and software service.

1.About these terms

These Terms of Service (“Terms”) are an agreement between you and Mishora CRM (“Mishora”, “we”, “us”), of Mishora CRM, Girnar Khushboo Plaza, Gunjan Road, Phase 2, GIDC, Vapi, Gujarat. They apply when you visit mishoracrm.com (the “Website”) and when you sign up for or use the Mishora CRM software service (the “Service”).

If you use the Service for a business, you confirm you have authority to bind that business to these Terms, and “you” means that business. If Mishora and your business sign an order form or separate agreement, it applies together with these Terms and prevails where the two conflict.

By using the Website or the Service you agree to these Terms. If you do not agree, please do not use them.

2.The Service

Mishora CRM is a cloud-based platform for running the whole order. It includes lead capture, scoring and a deal pipeline with lead-source integrations; quotations, customer e-signature, invoicing and online payments; work orders, bills of materials, appointments and support tickets; and roles, attendance, dashboards and reports. The modules available to you depend on your plan, as described on the Pricing page.

We keep improving the Service, so features change over time. If we remove a feature in a way that materially reduces the Service you have paid for, we will give you reasonable notice.

Booking a demo is free and creates no obligation on either side.

3.Your account

  • The Service is for business use. You must be at least 18 and able to enter into a contract.
  • You must give us accurate information and keep it up to date.
  • You are responsible for your users. Keep login details confidential, give each person their own account, set roles and permissions carefully, and tell us straight away if you suspect unauthorised access. What happens in your account is your responsibility.

4.Plans, fees and payment

  • Fees for each plan are shown on the Pricing page or in your order form, in Indian rupees, per user per month.
  • Prices exclude GST. We add GST at the applicable rate and issue a GST invoice.
  • Fees are payable in advance for each billing period, by the payment methods we offer, including through Razorpay. Payment gateway charges are set by the gateway and are separate from your fees.
  • If a payment is overdue, we may suspend access until it is paid, after giving you reasonable notice.
  • We may change our prices. A change applies from your next billing period, and we will give you at least 30 days’ notice.
  • Fees already paid are not refundable, except where the law requires it or we agree in writing.

5.Your data

  • Your data is yours. You own what you put into the Service (“Your Data”) and you are responsible for it, including having the right to use it and, where needed, the consent of the people it relates to.
  • You allow us to host, process and display Your Data only to provide, secure and support the Service, and as set out in our Privacy Policy.
  • We do not sell Your Data or use it for advertising. Each customer’s data is kept separate from other customers’ data.
  • You can export Your Data while your subscription is active. After your subscription ends we keep it for 30 days so you can request an export, and then we delete it, unless the law requires us to keep it longer.

6.Acceptable use

You agree not to:

  • break the law, or use the Service to store or send unlawful, defamatory, harmful or infringing material;
  • send spam or unsolicited commercial messages, or contact people without the permission that the law and the messaging platform require;
  • get around security, probe the Service for vulnerabilities without our written consent, or interfere with how it works for others;
  • copy, reverse engineer or resell the Service, except under a plan that allows resale, such as the Scale plan for agencies and resellers; or
  • use the Service to build a competing product.

We may suspend access to content or accounts that break these rules.

7.Integrations and third-party services

The Service connects to third-party services such as WhatsApp, Instagram and Meta Ads, IndiaMART, JustDial, TradeIndia, Sulekha and Razorpay. You need your own accounts with them, you must follow their terms and policies, and you are responsible for the permissions you give when you connect them.

We do not control these services and are not responsible for their availability, changes or decisions, for example if a platform restricts your account or changes its rules.

8.Quotations, e-signatures and invoices

The Service lets you create quotations and invoices, collect your customers’ electronic signatures and take payments. You are responsible for the content of your documents, for the tax details on your invoices, and for making sure the way you use e-signatures suits the agreements you make. We provide the tools; we do not give legal or tax advice.

9.Availability and support

We work to keep the Service available and secure, but we cannot promise it will always be uninterrupted or error-free. We may carry out maintenance and, where practical, will give notice of planned downtime.

Support is available by email and phone; our details are on the Contact page. Unless your order form says otherwise, we do not offer a guaranteed uptime commitment.

10.Intellectual property

We and our licensors own the Service, the Mishora name and logo, and everything we provide, apart from Your Data. During your subscription, these Terms give you a limited, non-exclusive, non-transferable right to use the Service for your business.

If you send us feedback or suggestions, we may use them without obligation to you.

11.Confidentiality

Each of us will keep the other’s non-public business information confidential, and use it only for the purposes of the Service, unless the law requires disclosure.

12.Suspension and termination

  • You can stop using the Service and cancel your subscription at any time. Cancellation takes effect at the end of the billing period you have already paid for.
  • We may suspend or end your access if you materially break these Terms or do not pay. We will first give you notice and a reasonable chance to fix the problem, except where the breach is serious or unlawful, in which case we may act immediately.
  • When your subscription ends your access stops. Terms that are meant to continue (fees owed, intellectual property, liability and governing law) continue, and the section “Your data” explains what happens to Your Data.

13.Disclaimers

To the extent the law allows, the Website and the Service are provided “as is” and “as available”, and we make no promises beyond those in these Terms and any order form.

Reports, scores and calculations, such as lead scores and margins, depend on the information entered. They are aids to decision-making, not guarantees or professional advice.

Nothing in these Terms limits any right you have under law that cannot be excluded, including under the Consumer Protection Act, 2019 where it applies to you.

14.Limits on our liability

To the extent the law allows:

  • we are not liable for indirect or consequential loss, or for loss of profit, revenue, business or goodwill; and
  • our total liability to you for all claims relating to the Service is limited to the fees you paid us for the Service in the 12 months before the event that gave rise to the claim.

Nothing in these Terms excludes liability that cannot be excluded by law, such as liability for fraud or wilful misconduct.

15.Indemnity

You will compensate us for losses arising from a third-party claim that is caused by Your Data, or by your use of the Service in breach of these Terms.

16.Governing law and disputes

These Terms are governed by the laws of India. If a dispute arises, we will both first try to resolve it in good faith: write to us at mishoracrm@gmail.com and tell us what is wrong. If it cannot be resolved that way, the courts at Vapi, Gujarat (Valsad district) have exclusive jurisdiction.

17.Changes to these Terms

We may update these Terms. The date at the top shows the latest version. For customers, we will give at least 30 days’ notice of material changes by email or in the Service. If you keep using the Service after a change takes effect, you accept the new Terms. If you do not accept them, you may cancel before they take effect.
